Order Policies

At ServerDimm, operated by Shenzhen Lux Telecommunication Technology Co.,Ltd., we support B2B buyers with new and used branded server memory sourcing for distributors, OEM buyers, resellers, system integrators, and data center teams. These Order Policies explain how quotations, order acceptance, payment, delivery, inspection, cancellations, returns, warranty handling, and related matters are managed for orders placed with us.

By submitting an inquiry, accepting a quotation, sending a purchase order, or placing an order with ServerDimm, you acknowledge and accept these Order Policies unless a separate written agreement signed by both parties states otherwise.

1. Scope

These Order Policies apply to the sale and supply of server memory, server processors, and related business-to-business hardware solutions provided by ServerDimm. They apply unless replaced by a separately negotiated written agreement, approved quotation, framework agreement, or other signed commercial document.

2. Product Focus

Our supply programs are focused on new and used branded server memory for enterprise and data center applications. Product coverage may include DDR4 server memory, DDR5 server memory, ECC memory, RDIMM, LRDIMM, and related branded supply programs, subject to availability and quotation approval.

Supported branded programs may include Samsung, Micron, Kingston, SK Hynix, and other supply options where available and confirmed in writing at quotation stage.

3. Quotations and Order Acceptance

All quotations are subject to stock availability, prior sale, supplier confirmation, compatibility review, export screening, and internal approval. A quotation does not constitute a binding obligation to supply until the order has been reviewed and accepted by us in writing.

Purchase orders issued by a customer do not amend or override these Order Policies unless we expressly agree to such changes in writing.

We reserve the right to reject, suspend, revise, or cancel any quotation or order before acceptance where there are pricing errors, specification conflicts, stock limitations, compliance concerns, or other material commercial reasons.

4. Pricing

Unless otherwise stated in writing, quoted prices:

  • are for business customers only;
  • are subject to inventory availability and supplier confirmation;
  • do not include taxes, duties, import charges, bank fees, shipping, insurance, or special packaging costs unless specifically included in the quotation;
  • may be revised before order confirmation if there are changes in availability, part number, requested specification, exchange rate, destination, or customer-requested revisions.

If a quotation includes a validity period, it expires automatically at the end of that period unless extended by us in writing.

5. Payment Terms

Payment terms are subject to approval and may vary depending on buyer profile, destination country, order value, product type, and whether inventory is standard, allocated, tested, or specially sourced.

Unless otherwise agreed in writing:

  • payment must be made in the currency stated on the quotation or invoice;
  • we may require full prepayment, deposit payment, or advance payment before order processing or shipment;
  • special orders, allocated inventory, compatibility-reviewed orders, or high-value orders may require advance payment;
  • testing, allocation, packing, and dispatch may be delayed until cleared funds are received.

Late or overdue payments may result in shipment delays, order suspension, cancellation of credit arrangements, and recovery of reasonable collection-related costs where permitted by applicable law.

6. Compatibility and Specification Responsibility

Because server memory sourcing depends on correct platform matching, customers are responsible for providing accurate server brand, model, memory generation, module type, part number, target capacity, preferred brand, and quantity information when requesting quotation.

We may assist with compatibility-focused quotation support, specification review, and part-number validation, but final installation suitability should always be confirmed by the buyer before deployment, integration, or resale.

7. Testing and Pre-Shipment Review

Depending on the product program and order scope, ServerDimm may perform specification review, part-number validation, pre-shipment screening, labeling review, and other quality-control steps designed to support more reliable deployment and clearer receiving at destination.

Testing and review processes do not remove the need for buyer-side receiving inspection, platform validation, and installation checks after delivery.

8. Order Changes

Any request to change an order after acceptance must be submitted in writing and will only take effect if approved by us in writing.

Requested changes may affect price, lead time, stock reservation, testing scope, packing schedule, shipping schedule, and warranty handling. We reserve the right to refuse order changes where inventory has already been allocated, tested, packed, booked, or shipped.

9. Shipping and Delivery

Delivery dates are estimates only unless explicitly agreed otherwise in writing. We will make reasonable efforts to meet quoted schedules, but delivery timing may be affected by stock availability, testing requirements, customs review, export compliance, carrier delays, force majeure events, and other factors outside our direct control.

Unless otherwise agreed in writing:

  • shipment method, routing, and delivery terms will be stated in the quotation, proforma invoice, or commercial invoice;
  • partial shipments may be made where commercially reasonable;
  • the customer is responsible for providing accurate consignee, delivery, import, and contact information;
  • the customer is responsible for destination-country customs clearance, duties, taxes, and local compliance requirements unless otherwise agreed in writing.

10. Inspection, Shortages, and Transit Damage

Customers must inspect products promptly upon delivery.

Any claim relating to visible shipping damage, shortages, incorrect items, packaging damage, or other externally apparent delivery issues should be reported to us in writing as soon as possible, together with supporting photographs, parcel labels, and receiving records where available.

Delayed reporting may limit the ability to investigate and coordinate with carriers or third-party logistics providers.

11. Title and Risk

Unless otherwise stated in writing, risk of loss or damage passes in accordance with the shipping terms stated on the applicable quotation, invoice, or dispatch documents.

Title to products remains with ServerDimm / Shenzhen Lux Telecommunication Technology Co.,Ltd. until full payment has been received and cleared, to the extent permitted by applicable law.

12. Taxes, Duties, and Import Charges

Customers are responsible for all applicable taxes, VAT, GST, import duties, customs fees, brokerage charges, and destination-country compliance costs unless expressly stated otherwise in writing.

If a customer claims tax exemption or special import treatment, valid supporting documentation must be provided before invoicing or shipment.

13. Export and Compliance

Because we support cross-border B2B supply, all orders remain subject to applicable export control, sanctions, customs, and trade-compliance requirements.

Customers are responsible for ensuring that products are lawfully imported, exported, re-exported, transferred, and used in the destination country and by the intended end user. We reserve the right to request end-user, end-use, destination, and compliance information before accepting or shipping an order.

We will not be required to process or fulfil any order that would violate applicable laws, sanctions rules, or trade restrictions.

14. Cancellations

Orders may not be cancelled after acceptance without our prior written approval.

If we approve a cancellation, the customer may be responsible for supplier cancellation charges, allocation losses, testing costs, handling costs, freight commitments, currency losses, special sourcing costs, and other reasonable costs already incurred in relation to the cancelled order.

Special-order, tested, allocated, booked, non-standard, or quantity-reserved inventory is generally non-cancellable once accepted.

15. Returns

Returns are accepted only with prior written authorisation from ServerDimm.

Approved returns must:

  • reference the relevant quotation, order, or invoice;
  • be returned in the condition required by the return authorisation;
  • follow all packing, labeling, and routing instructions we provide;
  • be received within the authorised return window.

Returns may be refused where products have been used outside normal inspection, physically damaged, altered, incompletely returned, improperly packed, or returned without prior written approval.

Non-defective returns, if accepted, may be subject to inspection, restocking, repackaging, and freight-related charges.

16. Warranty and RMA Support

Warranty coverage is limited to the warranty terms expressly stated in the relevant quotation, order confirmation, invoice, product page, or separate warranty statement.

For new branded server memory, warranty terms will follow the supply program stated at time of sale. For used branded memory, tested inventory, or other non-new products, warranty support and RMA handling will be provided only as specifically confirmed in writing at the time of quotation or order confirmation.

Warranty claims do not cover damage or issues resulting from misuse, improper installation, unsupported configuration, incompatibility, unauthorised modification, mishandling, power issues, physical damage, or use outside intended operating conditions.

17. Limitation of Liability

To the fullest extent permitted by law, ServerDimm / Shenzhen Lux Telecommunication Technology Co.,Ltd. will not be liable for indirect, incidental, special, punitive, or consequential damages, including loss of revenue, loss of profit, loss of use, business interruption, downtime, loss of opportunity, loss of data, or loss of goodwill arising out of or in connection with any order, product, delay, or support process.

Our total aggregate liability in connection with any order will not exceed the amount actually paid to us for the specific products giving rise to the claim, except where such limitation is not permitted by applicable law.

18. Force Majeure

We are not liable for delay, non-performance, or failure to perform caused by events beyond our reasonable control, including supplier shortages, allocation limits, customs delays, export holds, sanctions changes, carrier delays, labour disruption, cyber incidents, natural disasters, fire, war, civil unrest, or other force majeure events.

19. Governing Law

These Order Policies shall be governed by the law stated in the applicable signed commercial agreement where one exists. If no separate written agreement applies, governing law and dispute handling will be determined in accordance with the final accepted transaction documents and applicable mandatory law.

If any provision of these Order Policies is held to be invalid or unenforceable, the remaining provisions will continue in full force and effect.
